These terms and conditions ("Terms") govern your use of procor.co.in (the "Website"), operated by Procor Compliance Solutions LLP ("Procor", "we", "us"), a limited liability partnership registered in India with LLPIN AAX-1796, with its office at A-26, 2nd Floor, Block B, Mohan Cooperative Industrial Estate, New Delhi, Delhi 110044.
By using the Website, you agree to these Terms. If you do not agree, please do not use the Website.
1. Information only, not professional advice
The Website, including our articles, FAQs, compliance calendar, checklists and other resources, provides general information about payroll, labour law, tax, accounting and corporate compliance in India. It is not legal, tax, accounting or financial advice, and it is not a substitute for advice on your specific circumstances.
Laws, rules, forms and due dates change frequently, and extensions may be notified by the government at any time. Although we take care to keep content accurate, it reflects our understanding at the time of publication and may not reflect later changes. Before acting on any information on the Website, confirm current requirements or consult a qualified professional.
2. Our services
Using the Website, submitting a form or attending a free consultation does not create a client relationship with Procor. We provide services only under a separate written engagement letter or agreement, which sets out the scope, fees, responsibilities and terms of that engagement. If there is a conflict between these Terms and a signed agreement, the signed agreement prevails.
Free consultations are offered without obligation, and we may decline any request at our discretion. Descriptions of services on the Website are indicative; the exact scope is agreed in writing for each engagement.
3. Using the Website
You may use the Website for lawful purposes only. You must not:
- use the Website in any way that breaches applicable law, including the Information Technology Act, 2000;
- submit false, misleading or another person's information through our forms;
- attempt to gain unauthorised access to the Website, its server or any connected system, or interfere with its operation (for example, through malware, denial-of-service attacks or automated scraping); or
- use the Website to send unsolicited commercial communications.
We may suspend or restrict access to the Website, in whole or in part, at any time and without notice, for example for maintenance or security reasons.
4. Intellectual property
The Website and its content, including text, articles, graphics, design, the Procor name and logo, and downloadable resources, are owned by or licensed to Procor and are protected by Indian and international intellectual property laws.
You may view, download and print content for your personal or internal business use, provided you keep any copyright and source notices. You may share links to our pages and resources. Without our prior written permission, you may not copy, republish, sell, sublicense or commercially exploit any content, or present it as your own.
Third-party product names mentioned on the Website, such as the HRMS platforms we support, are trademarks of their respective owners and are used only to identify those products; Procor is not affiliated with or endorsed by their owners unless expressly stated. Client names and logos shown on the Website are the trademarks of their respective owners and are displayed to identify organisations we have worked with. Their display does not imply any endorsement beyond that relationship.
5. Third-party websites and services
The Website links to services operated by others, including Calendly (meeting booking), Google Maps, WhatsApp and our social media pages. It also links to procorhrms.com, the website of Procor Digital Solutions Pvt Ltd, a Procor group company that offers Procor HRMS under its own terms.
We are not responsible for the content, availability or practices of third-party websites and services. Your use of them is governed by their own terms and privacy policies.
6. Disclaimer
The Website and its content are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we make no warranties, express or implied, that the Website will be uninterrupted, error-free or free of viruses, or that its content is complete, accurate or up to date.
7. Limitation of liability
To the fullest extent permitted by law, Procor, its partners and employees shall not be liable for any indirect, incidental, special or consequential loss, or for any loss of profit, revenue, data or goodwill, arising from your use of, or inability to use, the Website or reliance on its content.
Nothing in these Terms limits liability that cannot be limited under applicable law. Our liability for services we provide to clients is governed solely by the relevant engagement agreement.
8. Indemnity
You agree to indemnify Procor against any claims, losses and expenses (including reasonable legal fees) arising from your breach of these Terms or your misuse of the Website.
9. Privacy
Our Privacy Policy explains how we collect and use personal data through the Website. It forms part of these Terms.
10. Electronic communications
When you submit a form or email us, you consent to receiving communications from us electronically, and you agree that such communications satisfy any legal requirement for communications to be in writing, as recognised under the Information Technology Act, 2000. We will send marketing communications only if you have opted in, and you may unsubscribe at any time.
11. Changes to these Terms
We may update these Terms from time to time. The date at the top of this page shows when they were last updated. Your continued use of the Website after changes are posted means you accept the updated Terms.
12. Severability and waiver
If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full effect. Our failure to enforce any provision is not a waiver of our right to do so later.
13. Governing law and jurisdiction
These Terms are governed by the laws of India. Subject to any contrary provision in a signed agreement, the courts at New Delhi shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Website.
